The portfolio comprised eight skilled nursing facilities totaling 1,111 licensed beds, with geographic clustering in and around the Boston and Springfield, Massachusetts MSAs. With 938 of 1,111 (84%) of licensed beds situated within these two established metro areas, the portfolio offered a rare opportunity to acquire meaningful, integrated skilled nursing market share within one of the nation’s highest barrier-to-entry markets, protected by Massachusetts’s strict Certificate of Need legislation and supported by strong referral relationships with UMass Memorial, BayState, and Tenet Healthcare.
At the time of marketing, the portfolio was recovering from post-COVID census and staffing headwinds, with occupancy trending upward across the trailing periods and a clear path to stabilization. Massachusetts’s October 2023 transition to the Patient Driven Payment Model (PDPM) further enhanced the investment thesis, creating meaningful opportunity for administrative expense reductions and forward-looking rate enhancements. Pro forma performance projected $121.9 million in total revenue and $10.4 million in EBITDAR at 81% portfolio occupancy.

Blueprint executed a targeted marketing process, leveraging its deep network of SNF-focused investors and operators to generate strong interest from groups positioned to capitalize on the portfolio’s scale, CON-protected market position, and significant operational upside. The portfolio’s diversification, with no single facility accounting for more than 19% of consolidated revenue, alongside the presence of several trophy-quality assets, including East Longmeadow and Worcester, provided investors with both in-place cash flow and a credible path to value creation.

The seller ultimately selected a sophisticated and well-established owner/operator to acquire the portfolio and, upon receipt of the final DPH approval on June 1st, considered the transaction complete.

Blueprint guided all parties through a complex multi-facility closing process, coordinating the simultaneous transfer of eight operating licenses across Massachusetts while maintaining deal momentum and ensuring alignment through closing.

The successful execution of this transaction reinforces Blueprint’s ability to orchestrate the sale of large-scale skilled nursing portfolios in highly regulated, barrier-to-entry markets and deliver strong outcomes for its clients.
